DISTRIBUTION AGREEMENT

This agreement is between you (the artist or rights holder) and Klaslead Productions Pvt. Ltd., operating DistriBeats. You confirm it every single time you submit a release.

1. What you're granting us

  • A non-exclusive, worldwide licence to deliver, host, reproduce, stream and sell your recordings and artwork on stores and platforms you select.
  • The right to encode, transcode and compress your masters and artwork as required by each store's technical spec.
  • The right to use your name, artist name, artwork and release metadata for delivery, store pages, playlist pitching and DistriBeats promotion.
  • You keep 100% ownership of your master recordings and compositions at all times. Nothing here transfers copyright.

2. Your warranties

  • You own or fully control every recording, composition, sample, vocal, artwork and asset you upload.
  • Nothing you submit infringes copyright, trademark, publicity or privacy rights, and no AI-generated voice or likeness of a real person is used without written consent.
  • All featured artists, producers, songwriters and remixers are correctly credited in the metadata.
  • The release is not a cover, remix or karaoke version without the required licence.
  • The recording is NOT currently distributed, live or pending on any store or platform through another distributor, aggregator or label — you must take it down and confirm full removal before submitting it to DistriBeats.
  • You are not submitting fully AI-generated or low-effort tracks; human authorship and creative effort are mandatory on every plan.
  • All contributor splits, publishing shares and label consents are settled before submission; DistriBeats is not a party to those arrangements.

3. Delivery and store acceptance

  • Delivery timelines depend on your plan (Collab Artist 7 working days, Artist 3 business days, Label instant queue) and start after QC approval.
  • Stores may reject, delay or remove any release at their own discretion. DistriBeats cannot guarantee acceptance, placement, playlisting or a specific go-live time.
  • Metadata must follow store style guides. We may correct or return releases that fail QC.

4. Royalties and payouts

  • Your royalty split is defined by your active plan. Collab Artist retains 70% (30% commission), Artist plan retains 90%.
  • Royalties are reported by stores with a lag of up to 180 days and appear in the Console once received and reconciled.
  • Withdrawals unlock once your balance crosses the USD 50 threshold and are processed within 7 working days to the payout method on file.
  • Any chargebacks, fraud deductions or store clawbacks are deducted from your balance.

5. Takedowns and termination

  • You may request a takedown at any time; a takedown fee of ₹2,000 per song applies on every plan.
  • Takedowns propagate to stores within 5–15 business days depending on the platform.
  • We may remove a release or suspend an account immediately for fraud, artificial streaming, infringement or repeated store rejections.
  • Terminating your account does not reverse royalties already reported or fees already paid.

6. Fair usage and account rules

  • “Unlimited releases” is subject to a fair usage policy of 24 releases per artist per year.
  • One artist name per account under the Collab Artist and Artist plans; the name given at sign-up cannot be changed later.
  • Streaming manipulation, bot streams or paid-stream services result in immediate removal, forfeiture of royalties and permanent account closure.

7. Exclusivity and duplicate distribution

  • One recording may sit with only one distributor at a time. Submitting a track that is already delivered by another distributor causes duplicate ISRC/UPC conflicts and store-side rejections.
  • If a duplicate delivery is detected, we may unsubmit or take the release down without notice and without refunding any fee paid.
  • Migrating a catalogue from another distributor is welcome: request the takedown there, wait for full removal from stores, then submit here with the original release date and existing ISRCs where available.
  • Repeated duplicate submissions are treated as a policy breach and can result in permanent account closure and forfeiture of unpaid royalties.

8. Content standards and prohibited material

  • No hate speech, incitement, sexual content involving minors, or material unlawful in India or in a delivery territory.
  • No fully AI-generated or low-effort tracks, noise/silence uploads, mass-produced sound-alike catalogues or metadata spam.
  • No misleading metadata, keyword stuffing in titles, or impersonation of another artist, label or release.
  • Cover versions require valid mechanical licences; remixes and samples require written clearance you can produce on demand.

9. Fees, taxes and refunds

  • Subscription fees are billed annually in INR and displayed inclusive of applicable Indian taxes; foreign-currency prices are indicative conversions.
  • Trials priced at ₹9 convert to the standard annual rate on renewal unless cancelled before the renewal date.
  • Fees already paid are non-refundable once a release has been delivered or a service term has begun, except where required by law.
  • Takedown fee: ₹2,000 per song. Bank charges, FX spreads and payment-gateway fees on payouts are borne by the artist.

10. Term, renewal and cancellation

  • The agreement runs for the term of your active subscription and renews annually unless cancelled from the Console or by written notice.
  • If a subscription lapses, existing deliveries may be removed from stores and royalty collection for that period stops.
  • Either party may terminate for material breach with immediate effect; sections on warranties, indemnity, liability and governing law survive termination.

11. Indemnity

  • You indemnify DistriBeats and Klaslead Productions Pvt. Ltd. against any claim, loss, legal cost or store penalty arising from your content, metadata or breach of this agreement.
  • You will co-operate fully with takedown notices, DMCA claims and store investigations, and provide licences or clearances within 7 days of request.

12. Data, privacy and confidentiality

  • We process your personal and payout data under our Privacy Policy and applicable Indian data-protection law, and share it with stores, payment and tax partners only as needed to deliver the service.
  • Royalty statements, rates and platform reports are confidential and may not be republished without written consent.
  • You are responsible for account security, including keeping two-factor authentication enabled and credentials private.

13. Service changes and force majeure

  • Features, store partners, plan limits and pricing may change; material changes are notified in the Console or by email before they take effect.
  • We are not liable for delays or failures caused by events beyond our control, including store outages, internet failure, strikes, natural events or government action.
  • Continuing to use the service after a change to these terms constitutes acceptance of the updated agreement.

14. Dispute resolution

  • Raise every dispute first with artists@distribeats.com; we aim to resolve support-level disputes within 15 working days.
  • Unresolved disputes go to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Kolkata, in English.
  • Nothing here prevents either party from seeking urgent injunctive relief in a competent court.

15. Liability and governing law

  • DistriBeats is a distribution service; we are not liable for indirect or consequential loss, lost profit or store-side outages.
  • Our total liability for any claim is limited to the fees you paid us in the preceding 12 months.
  • This agreement is governed by the laws of India, with exclusive jurisdiction in the courts of Kolkata, West Bengal.
